LICENSED ONLY AGENT AGREEMENT

This Licensed Only Agent Agreement ("Agreement") is entered into by and between C & K Healthcare Advisors, and Plan Bright Partners ("COMPANY"), and the undersigned Licensed Insurance Agent ("AGENT").

1. RELATIONSHIP AND SCOPE *

1.1 Independent Contractor Status: AGENT is an independent contractor and not an employee of COMPANY. AGENT shall be treated as a 1099 independent contractor for tax purposes. 1.2 Licensed Only Agent (LOA) Relationship: AGENT shall operate as a Licensed Only Agent within COMPANY's hierarchy structure for Medicare, Life, and Ancillary product sales. 1.3 Licensing Requirements: AGENT must maintain all required insurance licenses and comply with all state Insurance Department regulations. 1.4 Compliance Obligation: AGENT shall comply with all applicable Medicare carrier rules, Centers for Medicare & Medicaid Services (CMS) regulations, and all applicable insurance laws.

2. COMMISSION STRUCTURE *

2.1 Commission Rates: • New to Medicare Sale: $300 per enrollment • Plan Change: $200 per enrollment • Annual Retention Bonus: $20 per member per year 2.2 Commission Payment Schedule: • Annual Enrollment Period (AEP) commissions will be paid after January 1st following the AEP selling season receipt of carrier commissions by COMPANY • Open Enrollment Period (OEP) and "Lock-In" season commissions will be paid after the 1st of the month following receipt of carrier commissions by COMPANY 2.3 Commission Assignment: AGENT hereby assigns all carrier commissions to COMPANY, which will then pay AGENT according to the commission structure outlined in this Agreement. 2.4 Contingent Payment: All commission payments are contingent upon COMPANY's receipt of payment from the carrier.

3. CHARGEBACK PROVISIONS *

3.1 Carrier Chargebacks: If a carrier issues a chargeback for any policy that falls off their books, AGENT agrees that: • A debit will be placed against future commissions until the chargeback balance is paid in full • If AGENT does not write new business sufficient to clear the debt, AGENT remains liable for the full chargeback amount 3.2 Termination with Outstanding Chargebacks: If AGENT leaves COMPANY's hierarchy, quits the industry, or retires while owing chargeback balances: • AGENT will remain liable for all outstanding chargeback amounts • AGENT may be subject to Vector reporting and potential litigation for recovery of any unpaid balances • No releases will be granted until all chargeback balances are paid in full 3.3 Chargeback Notification: COMPANY will provide written and/or electronic notification to AGENT of any chargebacks within 15 business days of COMPANY receiving notice from the carrier.

4. RELEASE PROVISIONS *

4.1 Annual Blackout Period: No releases will be given from July 1st through December 31st annually, regardless of circumstances. 4.2 Release Conditions: Outside the blackout period, releases will only be considered if: • AGENT has no outstanding chargeback balances • AGENT has fulfilled all contractual obligations • AGENT provides 30 days written notice 4.3 Final Authority: COMPANY retains sole discretion regarding the approval of any release requests.

5. COMPLIANCE AND CONDUCT *

5.1 CMS Compliance: AGENT shall: • Complete all required annual Medicare certification training • Adhere to all CMS marketing guidelines and regulations • Maintain accurate records of all client interactions • Use only approved sales and marketing materials 5.2 Ethical Standards: AGENT shall maintain the highest ethical standards in all client interactions and sales practices. 5.3 Confidentiality: AGENT shall maintain the confidentiality of all client information in accordance with HIPAA and other applicable regulations.

6. TERM AND TERMINATION *

6.1 Term: This Agreement shall remain in effect until terminated by either party. 6.2 Termination Without Cause: Either party may terminate this Agreement without cause with 30 days written notice. 6.3 Termination With Cause: COMPANY may immediately terminate this Agreement for cause, including but not limited to: • Loss of required licenses • Violation of Medicare regulations or any applicable insurance laws • Unethical conduct or misrepresentation • Breach of any provision of this Agreement 6.4 Post-Termination Obligations: Upon termination, AGENT remains liable for any outstanding chargeback balances.

7. GENERAL PROVISIONS

7.1 Governing Law: This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.

7.2 Amendments: This Agreement may only be amended in writing signed by both parties.

7.3 Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding the subject matter herein.

7.4 Survival: Sections 3 and 4 shall survive termination of this Agreement.

C & K Healthcare Advisors shall not be held responsible for carrier decisions or processing timeframes, and all contracting submissions are made in reliance on the information supplied by the agent.
